Who this agreement is between
You and us, from the day we approve your application.
This agreement is between you and Drentova Group Ltd, a company registered in England and Wales under number PLACEHOLDER — company number, whose registered office is at PLACEHOLDER — address line 1, PLACEHOLDER — city, PLACEHOLDER — postcode, United Kingdom (“we”, “us”).
It applies from the day we approve your application to become a partner. You accept it by ticking the box on the application form; the version you accepted is recorded against your application.
Definitions
- Client
- A business you introduce to us that buys one of our products or services and that we record as a deal attributed to you.
- Commission plan
- The upfront and recurring rates, and any time limit, we publish for a product or service on the Rates page of your partner dashboard.
- Client payment
- An amount a client actually pays us for a product or service, excluding VAT and any other tax.
- Dashboard
- Your partner dashboard at https://drentova.com/partners.
Your role
Introduce businesses honestly and lawfully. You cannot sign deals for us.
You may introduce businesses that could use our products and services. You are an independent partner: nothing in this agreement makes you our employee, worker, agent or business partner, and it is not exclusive on either side. You are free to do other work, and we are free to work with other partners.
When you introduce a business, you must:
- describe our products, services and prices accurately, using the information we publish or give you;
- not make promises, offer discounts or agree terms on our behalf, or present yourself as able to bind us;
- comply with the law, including the Bribery Act 2010 and the rules on direct marketing and data protection: you may only share someone’s contact details with us where you are allowed to;
- not offer or pay anything to a client, or anyone at a client, to win their business.
Which clients count as yours
A client is yours when we record the deal against you. First to introduce wins.
A business counts as your client when you introduce it to us and we record a deal for it attributed to you. We do not attribute a business that is already our customer, or that we are already in discussions with, when you introduce it. If two partners introduce the same business, it is attributed to the one who introduced it first.
We decide attribution reasonably and in good faith, and every client attributed to you appears on your dashboard. If you think a client is missing or attributed wrongly, tell us at [email protected] within 30 days of the deal starting and we will look into it and tell you the outcome.
Whether a business becomes a client is its decision and ours. We may decline to work with any business.
Your commission
A percentage of what each client actually pays, at rates fixed when the deal is recorded. Not on maintenance. Refunds are reversed.
For each client, you earn commission at the rates in the commission plan for that product or service on the day we record the deal. Those rates are shown against the client on your dashboard and stay fixed for that client, even if we later change the standard rates for new deals.
- Upfront commission, where the plan includes it, is a percentage of the client’s first client payment.
- Recurring commission, where the plan includes it, is a percentage of each later client payment, for as long as the client keeps paying, or for the period the plan states.
- Where a plan has only recurring commission, the first client payment counts as the first recurring payment.
- Maintenance and support charges do not earn commission.
Commission is worked out only on client payments we actually receive, in Qatari riyals. Each one is recorded on your dashboard with the amount paid, the rate applied and the commission it earned.
If we refund a client payment, or it is reversed or charged back, the commission on it is reversed. The reversal appears on your dashboard as an adjustment and is deducted from commission owed to you; if nothing is owed, it is deducted from future commission.
Getting paid
Paid by bank transfer and marked as paid on your dashboard. Your tax is yours.
We pay commission monthly, by bank transfer to the account you give us, within 15 days of the end of the month in which we receive the client payment it was earned on. We mark each commission as paid on your dashboard when we pay it.
You are responsible for your own tax, including income tax and any VAT or other tax due on the commission we pay you. If we are required by law to deduct tax from a payment, we will deduct it and tell you.
Changes to rates and to this agreement
We may change the commission plans for new deals at any time by updating the Rates page. A change never affects a client already attributed to you.
We may change this agreement. Every version is numbered and dated, and the change log at the bottom of this page records what changed. For a change that is to your disadvantage, we give you at least 30 days’ notice by email before it takes effect, and you may end this agreement before then.
Ending this agreement
Either side can end it at any time. You keep earning on clients you already brought in, unless it ended because of your serious breach.
Either of us may end this agreement at any time by telling the other by email. We may end it immediately if you seriously or repeatedly breach it, including the rules in “Your role”.
When it ends, you stop introducing businesses on our behalf. Commission on client payments we received before it ended is still paid. For clients attributed to you before it ended, recurring commission continues on their later payments under the same terms, unless we ended the agreement because of your serious or repeated breach, in which case it stops.
Confidentiality and personal data
You must keep confidential any non-public information about us, our clients and our commercial terms that you learn as a partner, and use it only to act as a partner.
We use the personal data you give us, and the data of the businesses you introduce, as described in our Privacy Policy. Where you share a contact’s details with us, you confirm you are allowed to.
Using our name
You may use our name and the names of our products to describe them accurately to businesses you introduce. You may not register domain names or social media accounts using them, buy advertising on them, or suggest you are part of Drentova Group Ltd, without our written permission.
Liability
Nothing in this agreement limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, neither of us is liable to the other for loss of profit, loss of business, or any indirect or consequential loss, and our total liability to you under this agreement in any twelve-month period is limited to the commission paid or payable to you in that period.
General
This agreement and the documents it refers to are the whole agreement between us about the partner programme. If any part of it is unenforceable, the rest continues to apply. Not enforcing a right does not waive it. You may not transfer this agreement without our consent; we may transfer it to a group company or to a buyer of the business, and will tell you if we do. No one other than you and us has any right to enforce it.
Governing law and jurisdiction
These terms and any dispute arising out of them, whether contractual or not, are governed by the laws of England and Wales.
You and we agree that the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident elsewhere in the United Kingdom you may also bring proceedings in the courts of the part of the UK where you live.
Nothing in these terms affects your rights as a consumer under the law of the country where you live where those rights cannot be excluded by agreement.
